1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Abode Warehouse, a division of Abode Lafayette ("Abode Warehouse," "we," "us," or "our"), located at 3564 Mt Diablo Blvd, Lafayette, CA 94549. By accessing or using abodewarehouse.com ("the Website"), creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Website or purchase products from Abode Warehouse. We reserve the right to modify these Terms at any time. Changes take effect upon posting to this page. Your continued use of the Website after changes are posted constitutes acceptance of the updated Terms.

3. Eligibility

You must be at least 18 years of age to use the Website or make a purchase. By placing an order, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are placing an order on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Customer Accounts

You may create an account on abodewarehouse.com to track orders, save shipping addresses, and access order history. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@abodewarehouse.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate any account at our discretion, including for violation of these Terms, suspected fraudulent activity, or extended inactivity.

5. Products and Pricing

Product Descriptions

We make reasonable efforts to display product information accurately, including descriptions, specifications, colors, and images. However, actual colors may vary from screen displays due to monitor settings, lighting conditions, and manufacturing variations inherent to natural materials like wood, stone, and carpet. Product specifications (thickness, width, coverage per box, etc.) are based on manufacturer data and may vary slightly between production runs.

We do not warrant that product descriptions, images, or other content on the Website are error-free, complete, or current. If a product you ordered does not match its description in a material way, your sole remedy is to return it in accordance with our Returns & Exchanges Policy.

Pricing

All prices on abodewarehouse.com are listed in U.S. dollars and are subject to change without notice. Prices do not include applicable sales tax or delivery fees, which are calculated at checkout. While we strive for accuracy, pricing errors may occur. In the event of a pricing error, we reserve the right to cancel the order and notify you, at which point you may choose to reorder at the correct price.

Trade pricing is available exclusively to approved members of the Abode Warehouse Trade Program and is governed by our separate Trade Program Terms & Conditions.

Product Availability

All orders are subject to product availability. We do not guarantee that any product will remain in stock or continue to be offered. If a product you have ordered becomes unavailable, we will notify you and offer a refund or a comparable alternative at your choice. Abode Warehouse is not liable for damages resulting from product unavailability.

6. Orders and Order Acceptance

Placing an order on abodewarehouse.com constitutes an offer to purchase. All orders are subject to acceptance by Abode Warehouse. We reserve the right to refuse or cancel any order for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, or inability to verify payment or delivery information.

An order confirmation email does not constitute acceptance of your order. Acceptance occurs when the product is shipped or made available for pickup. If we cancel an order after payment has been processed, a full refund will be issued to your original payment method.

7. Payment

We accept major credit cards, debit cards, and other payment methods as displayed at checkout. Payment is processed at the time your order is placed through our secure, PCI DSS-compliant payment processors. By providing payment information, you represent that you are authorized to use the payment method and that the information is accurate.

Applicable California sales tax will be added to your order total unless you have a valid California Resale Certificate (BOE-230) on file. It is your responsibility to ensure your tax-exempt status is established before placing an order. Sales tax cannot be refunded retroactively.

8. Shipping, Delivery, and Pickup

Abode Warehouse offers Bay Area delivery and local pickup at our Livermore warehouse. Delivery fees, timelines, and availability vary by location and order size. Full details are available on our Shipping & Delivery page.

Estimated delivery times are provided as a courtesy and are not guaranteed. Risk of loss and title for products purchased from Abode Warehouse pass to you upon delivery to the carrier or, for local delivery, upon delivery to the specified address. Inspect all materials upon delivery and note any visible damage on the delivery receipt before signing.

9. Returns, Exchanges, and Cancellations

Returns and exchanges are subject to our Returns & Exchanges Policy. Key terms include: returns accepted within 30 days of delivery for unused materials in original manufacturer packaging; a restocking fee of up to 20% may apply; special orders, custom-cut materials, clearance items, and opened chemical products are non-returnable. A Return Authorization (RA) number is required for all returns.

10. Intellectual Property

All content on abodewarehouse.com — including but not limited to text, graphics, logos, images, photography, product descriptions, page layouts, and software — is the property of Abode Warehouse or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

The Abode Warehouse name, logo, and all related marks are trademarks of Abode Lafayette. You may not use, reproduce, modify, distribute, or display any content from this Website without our prior written consent, except for personal, non-commercial use in connection with purchasing products from our store.

11. User Conduct

You agree not to use the Website for any unlawful purpose or in any way that could damage, disable, or impair the Website. Prohibited conduct includes but is not limited to:

• Attempting to gain unauthorized access to any part of the Website, other accounts, or computer systems
• Using automated tools, bots, or scripts to scrape, crawl, or extract data from the Website
• Transmitting any viruses, malware, or harmful code
• Impersonating any person or entity or misrepresenting your affiliation with any person or entity

Product warranties are provided by the original manufacturer and are subject to the manufacturer's terms, conditions, and limitations. Abode Warehouse does not independently warranty flooring products beyond manufacturer terms. See our Trade Terms (Section 7) for additional warranty details.

13. Limitation of Liability

To the fullest extent permitted by California law, Abode Warehouse, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Website, your purchase of products, or these Terms. This includes but is not limited to damages for lost profits, lost revenue, lost data, project delays, or business interruption.

In no event shall Abode Warehouse's total liability to you for all claims arising from or related to these Terms exceed the total amount you paid to Abode Warehouse for the specific order giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Abode Warehouse, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Website, your violation of these Terms, your violation of any law or the rights of any third party, or any content you submit to the Website.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Contra Costa County, California.

You agree to attempt to resolve any dispute informally by contacting us at hello@abodewarehouse.com before initiating any formal legal proceeding. If a dispute cannot be resolved informally within 30 days, either party may pursue available legal remedies.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with our Privacy Policy, Returns & Exchanges Policy, Shipping & Delivery Policy, and any additional terms applicable to specific products or services (such as the Trade Program Terms), constitute the entire agreement between you and Abode Warehouse with respect to your use of the Website and supersede all prior agreements, communications, and understandings.
